Terms of Service

1. Acceptance of Terms

By accessing or using Kyubi ("Kyubi Products"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Kyubi Products.

These Terms constitute a legal agreement between you and Kyubi Norway ("Kyubi", "we", "us", "our"), a company registered in Norway. By using our services you confirm that you have read, understood, and accepted these Terms.

2. Eligibility

You may use the Kyubi Products only if:

• —You are at least 13 years of age (or the age of digital consent in your jurisdiction, whichever is higher)
• —You have the legal capacity to enter into a binding agreement
• —You are not barred from receiving services under applicable law

If you are using the Kyubi Products on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Accounts

3.1 Registration

To access certain features you must create an account. You agree to provide accurate, current, and complete information during registration and to keep it up to date.

3.2 Account Security

• —You are responsible for maintaining the confidentiality of your login credentials
• —You must notify us immediately of any unauthorized access at security@kyubi.dev
• —You are responsible for all activity that occurs under your account

3.3 One Account Per Person

You may not create multiple accounts to circumvent usage limits, suspensions, or any other restrictions.

4. Permitted Use

Subject to these Terms, Kyubi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Kyubi Products for your own lawful purposes.

Permitted uses include:

• —Personal productivity and learning
• —Professional and commercial work within your organization
• —Creating, editing, and exporting content generated with the Kyubi Products
• —Integrating outputs into your own products, subject to Section 8

5. Prohibited Conduct

You may not use the Kyubi Products to:

• —Violate any applicable law or regulation
• —Infringe the intellectual property rights of any third party
• —Generate, distribute, or store content that is illegal, harmful, defamatory, or harassing
• —Attempt to reverse-engineer, decompile, or extract source code from any part of the service
• —Probe, scan, or test the vulnerability of our systems or networks without authorization
• —Scrape, crawl, or use automated means to access the service in a way that exceeds normal usage
• —Use the service to train competing AI models without our prior written consent
• —Impersonate any person, entity, or Kyubi itself
• —Transmit malware, viruses, or other malicious code

We reserve the right to investigate and take appropriate action against violations, including account suspension or termination.

6. Intellectual Property

6.1 Kyubi's Intellectual Property

The Kyubi Products, including all software, designs, trademarks, and documentation, are owned by Kyubi or its licensors. Nothing in these Terms transfers ownership of our intellectual property to you.

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Kyubi Products, you grant us a worldwide, royalty-free, irrevocable license to use that feedback for any purpose without obligation to you.

7. User Content

7.1 Ownership

You retain all ownership rights in content you submit to the Kyubi Products ("User Content"). We do not claim ownership over your User Content.

7.2 License to Kyubi

By submitting User Content, you grant Kyubi a limited, worldwide, royalty-free license to process and store your User Content solely to provide and improve the Kyubi Products as described in our Privacy Policy.

7.3 Your Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• —You own or have the necessary rights to submit the content
• —The content does not violate any applicable law or third-party rights
• —The content complies with these Terms

8. AI-Generated Outputs

The Kyubi Products use AI systems to generate outputs ("Outputs") based on your inputs.

• —Subject to these Terms, you may use Outputs for lawful purposes, including commercial use
• —AI-generated content may be inaccurate, incomplete, or unsuitable for certain purposes — always review Outputs before relying on them
• —Kyubi makes no representations about the accuracy, originality, or fitness of Outputs for any particular purpose
• —You are responsible for ensuring that your use of Outputs complies with applicable law, including intellectual property law

We do not guarantee that Outputs are free from third-party intellectual property rights. You assume all risk associated with your use of Outputs.

9. Subscriptions & Billing

9.1 Free and Paid Plans

Certain features of the Kyubi Products are available under paid subscription plans. By subscribing, you agree to the pricing displayed at the time of purchase.

9.2 Billing

• —Subscriptions are billed in advance on a recurring basis (monthly or annually)
• —All fees are non-refundable except as stated in our refund policy or as required by law
• —You authorize Kyubi to charge your payment method for all applicable fees

9.3 Cancellation

You may cancel your subscription at any time via Settings → Subscription. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

9.4 Price Changes

We may change subscription prices on 30 days' written notice. Continued use after the effective date constitutes acceptance of the new price.

10. Termination

10.1 Termination by You

You may stop using the Kyubi Products and close your account at any time via Settings → Account → Delete Account.

10.2 Termination by Kyubi

We may suspend or terminate your account or access to the Kyubi Products at any time, with or without notice, if:

• —You breach these Terms
• —We are required to do so by law
• —We discontinue the Kyubi Products

10.3 Effect of Termination

Upon termination, your right to use the Kyubi Products ceases. Provisions that by their nature should survive termination (including Sections 6, 11, 12, 13, and 14) will continue to apply.

11. Disclaimers

THE KYUBI PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, Kyubi disclaims all warranties, including:

• —Implied warranties of merchantability and fitness for a particular purpose
• —Warranties that the service will be uninterrupted, error-free, or secure
• —Warranties regarding the accuracy or reliability of any content or Outputs

Some jurisdictions do not allow the exclusion of implied warranties, so the above may not apply to you in full.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KYUBI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE KYUBI PRODUCTS.

In no event will Kyubi's total cumulative liability exceed the greater of:

• —The amount you paid to Kyubi in the twelve (12) months preceding the claim, or
• —One hundred euros (€100)

These limitations apply regardless of the theory of liability and even if Kyubi has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so these may not apply to you in full.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kyubi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• —Your use of the Kyubi Products
• —Your User Content
• —Your violation of these Terms
• —Your violation of any third-party rights

14. Governing Law & Disputes

14.1 Governing Law

These Terms are governed by the laws of Norway, without regard to conflict of law principles.

14.2 Dispute Resolution

We encourage you to contact us first to resolve any dispute informally at legal@kyubi.dev.

If a dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the courts of Oslo, Norway, unless mandatory consumer protection laws in your jurisdiction require otherwise.

14.3 Consumer Rights

Nothing in these Terms limits any rights you may have under applicable mandatory consumer protection laws in your country of residence.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• —Post the updated Terms on this page with a new Effective Date
• —Notify you via email or an in-app notice at least 14 days before changes take effect

Your continued use of the Kyubi Products after the effective date constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Kyubi Products before the changes take effect.
